1Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Vikibill Pvt Ltd ("Company", "we", "us", or "our"), governing your access to and use of Vikibill, accessible via https://www.vikibill.com, our web applications, APIs, and associated billing/invoicing services (collectively, the "Service").

By creating an account, authenticating via third-party identity providers, accessing, or using our Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

2Eligibility & Account Registration

To access certain features of the Service, you must register for an account. By registering, you represent and warrant that:

• You are at least 18 years old or possess legal business authority to enter into commercial agreements.
• You have the legal capacity and authority to enter into these Terms on your own behalf or on behalf of the legal entity you represent.
• All registration information you provide is true, accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your account credentials, API keys, and authentication tokens.
• You accept sole responsibility for all activities that occur under your account. You must notify us immediately at support@vikibill.com of any unauthorized use or breach of security.

3Permitted & Prohibited Use

You agree to use the Service only for lawful billing and business purposes in accordance with these Terms. You specifically agree not to:

• Use the Service in any way that violates applicable local, national, or international laws or tax regulations.
• Engage in unauthorized access, reverse engineering, decompiling, or attempting to extract the source code or underlying algorithms of the Service.
• Circumvent, disable, or tamper with security-related features, authentication mechanisms, or rate limits.
• Transmit viruses, malware, trojan horses, worms, or any malicious code.
• Use automated tools, bots, scrapers, or spiders to access, collect data from, or overload the Service without prior written authorization.
• Generate fraudulent invoices, deceptive bills, or unauthorized financial transactions.
• Resell, sublicense, redistribute, or commercially exploit access to the Service without an explicit enterprise agreement with us.

4Third-Party Integrations & OAuth Authentication

Our Service may allow you to link, authenticate, or integrate with third-party services, including but not limited to Google, Microsoft, GitHub, Apple, or other identity and cloud providers (collectively, "Third-Party Services").

4.1 OAuth Authorization & Scopes

When you grant Vikibill access to your Third-Party Service accounts via OAuth or API tokens, we will access, process, and store only the data explicitly permitted by the scopes you authorize. You can revoke this authorization at any time through your Third-Party Service security settings.

4.2 Compliance with API Policies

Vikibill's use and transfer to any other app of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

We do not own, control, or endorse any Third-Party Services. Your use of such services is governed solely by the terms and privacy notices of those respective third parties. We are not liable for any actions, outages, or data practices of third-party platforms.

5Intellectual Property & Content

5.1 Our Intellectual Property

The Service, including its software, architecture, user interfaces, branding, logos, trademarks, and documentation, is the exclusive property of Vikibill Pvt Ltd and its licensors, protected by copyright, trademark, and other applicable laws. Except as explicitly stated, no license or right is granted to you.

5.2 Your Content & Data

You retain all ownership rights in any invoice data, client lists, text, images, or business materials you upload, input, or transmit through the Service ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, process, store, and display such content solely to the extent necessary to operate, maintain, and provide the Service to you.

You represent that you have all required rights, consents, and permissions to provide such content and that doing so does not infringe upon any third party's rights.

6Billing, Fees & Subscriptions

Certain features of the Service may be offered on a paid subscription or pay-per-usage basis:

• Billing: Fees are billed in advance on a recurring monthly or annual basis, as selected at checkout. All payments are processed through secure payment gateways.
• Taxes: Fees are subject to applicable GST and other government taxes as required under Indian law.
• Cancellations: You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing cycle.
• Refunds: Except where required by applicable law, payments are non-refundable.

7Service Availability & Modifications

We strive to provide continuous, high-availability service. However, we do not guarantee that the Service will always be uninterrupted, error-free, or entirely bug-free.

We reserve the right to modify, update, enhance, deprecate, or temporarily suspend any part of the Service with or without prior notice, including for scheduled maintenance, security updates, or technical improvements.

8Suspension & Termination

These Terms remain in effect until terminated by either you or us.

• Termination by You: You may terminate these Terms at any time by closing your account and ceasing all use of the Service.
• Termination by Us: We reserve the right to suspend or terminate your account or access to the Service immediately, without prior notice, if you breach these Terms, engage in fraudulent or illegal conduct, or if required by applicable law or regulatory authority.

Upon termination, all rights and licenses granted to you under these Terms immediately cease, and you must discontinue all use of the Service.

9Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, VIKIBILL PVT LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS OR TAX REQUIREMENTS, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIKIBILL PVT LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIVE THOUSAND INDIAN RUPEES (INR ₹5,000.00).

11Indemnification

You agree to defend, indemnify, and hold harmless Vikibill Pvt Ltd, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service.

12Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of Tamil Nadu, India, without giving effect to any principles of conflicts of law.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the competent courts located in Chennai, Tamil Nadu, India, and each party irrevocably submits to the exclusive jurisdiction of such courts.

13Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this document, and where feasible, by sending an email notification or posting a prominent notice within the Service.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated terms, you must stop using the Service.
